1. Eligibility & Accounts

You must be at least 13 years old to use the Service. If you are between 13 and 18 years old, you may only use the Service under the supervision of, and with express consent from, a parent or legal guardian who agrees to be bound by these Terms.

When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@gutopia.ai if you believe your account has been compromised.

2. Description of the Service

Universal Card Scanner offers AI-assisted tools to capture, identify, and organize collectible cards. Certain features—such as automated metadata extraction, price insights, and cloud storage—may evolve over time. Gutopia Inc. may add, modify, or remove features without prior notice to improve the overall experience.

You acknowledge that AI-driven identification is inherently probabilistic. We do not guarantee that any card, attribute, valuation, or recommendation produced by the Service is accurate, complete, or suitable for any financial or commercial purpose.

3. Acceptable Use & Prohibited Conduct

You agree to use the Service only for lawful, personal, and non-commercial purposes unless Gutopia Inc. provides prior written permission. You will not: (a) upload content you do not own or have the right to use; (b) infringe, violate, or misappropriate intellectual property, privacy, or other rights; (c) attempt to probe, scan, or test the vulnerability of the platform; (d) use automated scripts or scraping tools to access the Service; (e) upload malware, malicious code, or content that is abusive, harassing, or discriminatory.

Gutopia Inc. reserves the right to monitor use, investigate complaints, and suspend or terminate accounts that violate these Terms or applicable law.

4. User Content & License Grants

You retain ownership of images, notes, collection data, and other materials you submit ("User Content"). By uploading User Content, you grant Gutopia Inc. a worldwide, non-exclusive, royalty-free, transferable license to host, process, analyze, display, and create derivative works solely to operate, improve, and provide the Service.

You warrant that your User Content does not violate third-party rights and that you have the necessary rights to grant the license above. You understand that removing User Content may not fully delete residual copies from our active systems immediately but we will follow our data retention practices described in the Privacy Policy.

5. Paid Features & Future Subscriptions

The Service currently offers free and optional premium features. If Gutopia Inc. introduces paid tiers, add-ons, or in-app purchases, additional terms (including pricing, billing cycles, cancellation rules, and refund policies) will be provided before you are charged. All fees will be quoted in U.S. dollars unless stated otherwise.

You agree to pay all applicable fees incurred by your account. Gutopia Inc. may suspend or terminate access to paid features if payment cannot be processed or is reversed. Promotional pricing, trials, and discounts may be modified or discontinued at any time.

6. Intellectual Property

All branding, trademarks, logos, software, and creative assets associated with Universal Card Scanner remain the property of Gutopia Inc. or its licensors. Except for the limited rights expressly granted to you under these Terms, no license or right is granted by implication or otherwise.

Third-party marks referenced within the Service (including trading card manufacturers, leagues, or artists) remain the property of their respective owners. Use of such marks is solely for descriptive and identification purposes.

7. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WITHOUT LIMITATION, GUTOPIA INC. DISCLAIMS ANY WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted, secure, or error-free operation. Any reliance on card identification, valuations, or recommendations is at your sole risk. Gutopia Inc. makes no promise that the Service will meet your expectations or deliver specific results.

8. Limitation of Liability

To the fullest extent permitted by law, Gutopia Inc. and its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from or related to your use of the Service.

In no event shall Gutopia Inc.'s aggregate liability exceed the greater of: (a) the amount you paid to Gutopia Inc. in the 12 months preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (USD $100).

9. Indemnification

You agree to defend, indemnify, and hold harmless Gutopia Inc., its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your breach of these Terms, your misuse of the Service, or your violation of any law or third-party rights.

10. Suspension & Termination

We may suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or abusive behavior, or pose a risk to other users or the platform. Upon termination, the license granted to you will immediately cease and your account may be deactivated or deleted according to our data retention practices.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco County, California for resolution of any dispute not subject to arbitration.

Gutopia Inc. may require that certain disputes be resolved through binding arbitration on an individual basis. If arbitration is mandated, you will receive clear notice and an opportunity to opt out where permitted by law.

12. Updates to These Terms

We may update these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. When we make material changes, we will provide notice through the Service, by email, or by updating the date at the top of this document. Continued use after the effective date constitutes acceptance of the revised Terms.
